Job summary

The Red Hat Commercial Legal team is looking for a Legal Counsel to join us in Singapore. In this role, you will report to the Asia Pacific (APAC) regional counsel and work on a globally dispersed team within the Red Hat Commercial Legal team to support Red Hat's sales and procurement activities in structuring, negotiating, and closing contracts. You will also collaborate with our Finance and Product Management teams. We will need you to have excellent communication skills to interact with internal and external business clients while addressing complex issues in an accurate, clear, and thorough manner. You'll also need a passion for technology, excellent problem-solving skills, and an ability to thrive in a fast-paced, changing environment.

Primary job responsibilities

  • Provide legal support for the quickly growing businesses of Red Hat in Southeast Asia and, where required, India

  • Negotiate open source software related contracts, including software licensing and software maintenance agreements, consulting agreements, reseller, distributor, cloud, hosting, OEM and other partner agreements, and supply agreements

  • Educate customers about open source licensing and Red Hat’s subscription business model

  • Design deals with view to revenue recognition principles

  • Support and coach sales teams on deal structure and contract negotiations

  • Be the central point of contact for the rollout of any new and updated agreements, including communicating with external counsel and translators

  • Communicate between the Sales, Marketing, Operations, and Finance teams

  • Coordinate with management, as appropriate, to ensure any and all contractual matters are handled in a timely, efficient, and cost-effective manner and to ensure that processes and procedures will be developed and applied consistently

  • Serve as a trusted adviser and business partner by providing counsel and guidance for the accomplishment of overall business objectives of Red Hat like fostering a culture of innovation, while ensuring full compliance with applicable laws and regulations and avoiding unacceptable risks

  • Develop a thorough understanding of and familiarity with Red Hat's business, its people, technology, markets, facilities, customers, and competitors to identify trends and formulate strategies accordingly

  • Provide compliance training and guidance to Sales, Marketing, and Services executives

Required skills

  • 6-8 years of relevant professional experience; in-house experience is a plus

  • LLB or higher degree in law; US, UK, Commonwealth, or Singapore legal qualifications are a plus

  • Fluent legal drafting skills in English; ability to speak and negotiate in a second language, especially Mandarin is a plus

  • Practical experience in software, hardware, or IT services contract negotiations, with a solid knowledge of commercial and contract law; experience with open source technology is a plus

  • Excellent verbal and written communication skills with good attention to detail

  • Ability to work on your own, prioritize, and follow through on multiple, concurrent and often competing deliverables, while managing expectations of the business and meeting deadlines

  • Outstanding interpersonal skills and the ability to collaborate effectively and earn trust and confidence with personnel at many different levels

  • Ability to work as a team member of the legal department in a scalable and accountable manner, demonstrating flexibility and personal accountability

  • Ability to manage responsibilities with an appropriate sense of urgency

  • Willingness to travel in region or to the U.S.

  • Exposure to a U.S.-based company and an understanding of the cultural nuances are a plus
