The Red Hat Legal team is looking for a talented Corporate Legal Specialist to join its subsidiary management team in Raleigh, NC. In this role, you will have the opportunity to directly contribute to Red Hat’s ongoing success as a global technology leader by helping us expand and maintain our global business of approximately 70 entities in 40+ countries. You’ll have the opportunity to gain meaningful familiarity with our global business and to quickly become an integral member of our Legal team. You’ll need to have excellent problem-solving skills and judgment and an ability to thrive in a fast-paced, changing environment. As a Corporate Legal Specialist, you’ll need to be meticulously organized, able to pay attention to detail, thriving on quickly learning new and complex concepts, and enjoying interaction with people from different functional and geographical backgrounds. You’ll also need to have excellent writing skills and ability to communicate with colleagues and outside counsel around the world about complex issues in an accurate, concise, and thorough manner.
Primary job responsibilities
Prepare, review, and organize corporate documents like board of director and shareholder resolutions and annual corporate filings
Track compliance deadlines and oversee required corporate filings
Ensure that corporate documents, including global reports and filings, comply with internal policies and U.S. compliance requirements
Maintain a working knowledge of company law requirements in 40+ countries
Ensure that internal policies and U.S. compliance requirements are met by global entities
Coordinate extensively both with external service providers (local law and accounting firms) and internal customers
Maintain entity management database and corporate records
Ability to read and absorb complex information quickly and accurately
Ability to maintain appropriate level of attention to detail and manage multiple complex matters effectively
Excellent written and verbal communication skills
Ability to deal effectively with people at all levels of an organization, including the executive team
Bachelor's degree from a four-year college or university
Work experience in a corporate secretarial or compliance function for a global company is a plus
